Augusto Santoro, Adjunct Faculty Member at Luiss Business School, is a lawyer, equity partner, and head of the corporate department in Italy at Herbert Smith Freehills. He previously worked with Simmons & Simmons, both in Italy and London, where he led the Italian equity capital market department for over a decade.
Augusto graduated in law from the Università Commerciale Luigi Bocconi, discussing a thesis on the solicitation of proxies in listed companies.
For over 20 years, he has assisted Italian and foreign multinationals, leading institutional investors such as private equity and venture capital funds, as well as industrial operators in the field of corporate acquisitions, leveraged buy-outs, mergers and demergers, business transfers, and, in general, extraordinary corporate transactions. He also assists companies and financial institutions in the context of equity and debt securities offerings and their listing on markets, as well as in structuring public tender offers and exchanges and, more generally, in public M&A. He is a lawyer at the Supreme Court, a member of boards of directors, supervisory bodies 231/2001, secretary of the board of directors of some companies and groups, an arbitrator in corporate proceedings, and a contributing author for leading law journals.
